1. Introduction
These Terms of Service govern your use of ListBee, operated by Demc, Računalniške storitve, Damjan Malis s.p., a sole proprietorship registered in Slovenia (registration no. 8911215000, VAT SI16792823), located at Drenov Grič 171D, 1360 Vrhnika, Slovenia.
2. What ListBee Is
ListBee is a software platform that enables you to create checkout pages ("Listings") for digital products. ListBee provides:
- Tools to create and publish Listings via API or MCP
- Stripe-powered checkout pages for buyers
- Automatic order creation on payment confirmation
- Digital content delivery — file downloads, URL redirects, and text content
ListBee is NOT a marketplace or merchant of record. We provide software tools and act as a payment facilitator via Stripe Connect.
3. Roles
- Seller = user who creates Listings via API
- Buyer = person who interacts with a Listing
4. Account Registration
You must be 18+, have legal capacity, and provide accurate information. You are responsible for API key security.
5. Subscription & Billing
Free and paid plans are available. Subscriptions auto-renew on your billing cycle. You can cancel anytime; cancellation takes effect at the end of your current billing period. Subscription fees are non-refundable.
6. Refunds
Sellers set their own refund policies. EU consumers have a 14-day withdrawal right under the Consumer Rights Directive, which is waived once the service (digital delivery) begins.
7. Seller Responsibilities
You are responsible for:
- Product legality and compliance with local laws
- Ownership and validity of intellectual property rights
- Accurate product descriptions
- Fulfillment of orders (digital delivery or external webhook handling)
- Customer support and dispute resolution
- Tax reporting and remittance
8. Prohibited Content
You may not create Listings for:
- Illegal goods or services
- Intellectual property infringement
- Controlled substances
- Child exploitation material
- Fraud, scams, or deceptive practices
ListBee may remove Listings or suspend accounts that violate these terms.
9. Payments via Stripe
- Buyers pay via Stripe Checkout
- Card data is handled exclusively by Stripe
- Funds transfer to your connected Stripe account
- ListBee deducts its platform fee per your plan
- You are responsible for refunds, disputes, and chargebacks
10. ListBee's Role
ListBee acts as a payment facilitator, not a merchant of record. We are not responsible for the legality, quality, or fulfillment of your products. You are solely responsible for the sale, fulfillment, taxes, and customer disputes.
11. Content Ownership
You retain ownership of all content you upload. ListBee receives a limited license to host, display, and process your content to operate the service.
12. Content Hosting
File hosting is provided via Bunny CDN. You are responsible for the content you upload. ListBee does not review or monitor uploaded files.
13. Termination
You may close your account anytime. ListBee may suspend or terminate your account for violations of these Terms. You remain responsible for pending orders even after account closure.
14. Service Availability
ListBee is provided "as is" and "as available." We make no guarantee of uninterrupted or error-free service.
15. Limitation of Liability
ListBee is not liable for indirect, incidental, consequential, or punitive damages. Our total liability is limited to 12 months of your subscription fees.
16. Governing Law
These Terms are governed by the laws of Slovenia. EU consumers retain all statutory rights afforded to them under EU law.
